The Unfair Contract Terms (UCT) reforms, effective from November 9, 2023, prohibit the inclusion of UCTs in standard form contracts with consumers and small businesses in Australia.' 

Violations attract substantial penalties, and the threshold for defining a "small business" has been raised.' 

Regulators are actively enforcing compliance, and recent cases highlight the importance of reviewing and amending standard form contracts.

  • Effective Date and Prohibition: The UCT reforms came into effect on November 9, 2023, making UCTs illegal in standard form contracts with consumers and small businesses, and imposing substantial penalties on businesses that violate these rules.
  • Definition of Consumer Contracts: Under the Australian Consumer Law (ACL) , a "consumer contract" involves the supply of goods and or the sale or grant of an interest in land from a business to a consumer.
  • Applicability to Small Businesses: The UCT law applies to standard form contracts where at least one party is a small business, defined as employing fewer than 100 employees or having an annual turnover of less than A$10 million.
  • Financial Products and : Under the ASIC Act, the UCT regime also applies to standard form contracts for financial products or with an upfront price payable of $5 million or less.
  • Increased Penalties: Breaches of UCT provisions now result in significant penalties,' which' could' be' 3 x' the value of the benefit' obtained.' 
  • Unfair Contract Term Test: A contract term is deemed unfair if it causes a significant imbalance in the parties' rights, is not necessary to protect legitimate interests, and causes detriment to a party.
  • Regulatory Actions and Compliance: Regulators have increased UCT compliance activities, with recent actions against companies like HCF Life and Paypal for including unfair terms in their contracts.
  • Business Implications: Businesses using standard form contracts in Australia should review and amend them to comply with UCT provisions to avoid penalties and reputational harm.
