Strategic transactions, trusted advice, lasting value

Nick is a Principal in Hunt & Hunt’s Corporate & Commercial practice and one of Australia’s most experienced advisers on mergers and acquisitions, governance and complex commercial transactions. With more than 35 years’ experience, he is widely respected for his commercial judgement, strategic insight and ability to guide clients through transactions where the stakes are high and the consequences long-lasting.

He has advised private businesses, corporates, government entities and not-for-profit organisations across every stage of the business lifecycle — from formation and growth through to restructuring, acquisition and exit. Nick is particularly trusted by business owners and boards when decisions are irreversible, reputationally sensitive or commercially complex.

A defining feature of Nick’s practice is his long-standing work with private and family-owned businesses. He has spent decades helping founders and shareholders build value, manage risk and transition ownership, often across generations. Clients value his ability to balance legal precision with commercial realism, ensuring decisions make sense not only on paper but in practice.

Nick’s experience includes acting on some of Australia’s most significant private business exits, as well as highly confidential transactions where discretion, judgement and strategic sequencing are critical. He is frequently engaged well before a transaction formally begins, assisting clients to prepare businesses for sale, investment or succession to maximise outcomes.

Before joining Hunt & Hunt, Nick was a Partner in the Corporate/M&A Group at Clayton Utz for more than a decade. He now leads complex transactions for Australian and international clients across a wide range of industries, often acting as the central coordinating adviser across legal, commercial and strategic workstreams.

Nick is known for his calm authority, deep institutional knowledge and ability to see the full commercial picture. Clients rely on him not only for technical excellence, but for perspective — particularly when navigating transactions that will define the future of a business or organisation.

    Mergers & Acquisitions
Nick has led more than a hundred merger and acquisition transactions over his career, acting for vendors, purchasers and investors in domestic and cross-border deals. His experience spans complex share and asset sales, management buy-outs, joint venture restructures and staged acquisitions involving earn-outs and minority interests.

He is particularly experienced in transactions involving privately owned businesses, where achieving value, managing risk and preserving relationships are critical. Nick regularly advises on pre-sale restructures, due diligence, transaction documentation and post-completion risk allocation.

    Private Business Exits & Succession
For more than three decades, Nick has advised private business owners on exit planning, intergenerational succession and strategic transitions. He is known for helping clients prepare businesses well in advance of sale, often materially improving outcomes by addressing governance, structure and commercial risks before a transaction is launched.

His work in this area includes some of Australia’s most well-known private exits, as well as numerous confidential transactions for family-owned and founder-led businesses.

    Corporate Governance & Board Advisory
Nick advises boards, directors and senior executives on governance, fiduciary duties and complex decision-making. He regularly acts for not-for-profit organisations, educational institutions and government-related entities on governance restructures, constitutional reviews and regulatory compliance.

He is also a long-standing contributor to LexisNexis Practical Guidance (Corporations Law), advising on company meetings, financial reporting, share capital transactions, related party dealings and foreign company issues.

    Joint Ventures & Strategic Alliances
Nick has extensive experience structuring and negotiating joint ventures across a range of sectors, including energy, health, logistics, manufacturing and education. His work includes advising on governance frameworks, equity arrangements, exit mechanisms and long-term commercial alignment between parties.

    Insolvency, Restructuring & Distressed Transactions
Nick regularly advises insolvency practitioners, secured creditors and purchasers on distressed acquisitions, divestments and restructures. His experience includes acting on sales arising from administrations, receiverships and liquidations, and advising on complex commercial risk in distressed environments.

    Cross-Border & International Transactions
Nick has acted for Australian, European, Asian and United States clients across a wide range of cross-border transactions. His work often involves multi-jurisdictional structuring, foreign investment considerations and coordination with overseas advisers to deliver seamless outcomes.

Clients value his ability to simplify complexity, negotiate effectively under pressure and deliver advice that is commercially grounded rather than theoretical.
